Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Cloud Brainy LLC ("Company", "we", "our", or "us") governing your access to and use of the GCP FinOps service ("Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

GCP FinOps is a cloud cost optimization platform that provides:

  • Analysis of Google Cloud Platform billing data
  • Cost dashboards and visualizations
  • Optimization recommendations
  • Savings tracking and reporting

The Service requires read-only access to your GCP billing export data in BigQuery. We do not modify, create, or delete any resources in your Google Cloud environment.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account
  • Be authorized to grant access to the billing data you connect

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to compete with us or develop a competing product
  • Share your account credentials with third parties
  • Transmit any malware, viruses, or harmful code

5. Subscription and Payment

5.1 Pricing

The Service is offered under various subscription plans as described on our website. Prices are subject to change with 30 days' notice for existing subscribers.

5.2 Billing

Subscriptions are billed in advance on a monthly or annual basis depending on your plan. Payment is due at the start of each billing period.

5.3 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • You will retain access until the end of your current billing period
  • No refunds will be issued for partial billing periods
  • Your data will be retained for 30 days, then deleted

5.4 Refunds

Refunds are handled on a case-by-case basis. Contact us if you believe you are entitled to a refund.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Cloud Brainy LLC and is protected by international copyright, trademark, and other intellectual property laws.

You retain all rights to your data. By using the Service, you grant us a limited license to access and analyze your billing data solely for the purpose of providing the Service.

7. Recommendations Disclaimer

Important: The recommendations provided by the Service are suggestions based on automated analysis of your billing data. They are not guaranteed to be accurate, complete, or appropriate for your specific situation.

You acknowledge that:

  • Recommendations are advisory only and not professional advice
  • You are solely responsible for evaluating and implementing any recommendations
  • We are not responsible for any consequences of implementing recommendations
  • You should always test changes in a non-production environment first
  • We do not guarantee any specific cost savings

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLOUD BRAINY LLC BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages arising from your use or inability to use the Service
  • Any damages arising from implementing our recommendations

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of recommendations

We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cloud Brainy LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any actions you take based on our recommendations

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or security reasons. We will provide notice when possible.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • We will delete your data within 30 days unless required by law to retain it
  • Provisions that by their nature should survive will remain in effect

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable rules.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cloud Brainy LLC regarding the Service.
